1. Acceptance of Terms
Welcome to Featherup Technologies. By accessing our website, engaging our services, or purchasing our products (including Web Development, App Development, Digital Marketing, Hosting, and Software Products), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must refrain from using our services.
2. Services Provided
Featherup Technologies provides IT and Software solutions. All project scopes, deliverables, timelines, and costs will be outlined in a separate written Proposal or Statement of Work (SOW) provided to the client. Any additional work outside the agreed SOW will be subject to additional charges.
3. Payment Terms & Billing
- Deposits: A non-refundable advance deposit (as specified in the project proposal) is required before any development or design work commences.
- Invoicing: Remaining balances will be invoiced upon reaching predefined project milestones or upon project completion.
- Late Fees: Invoices not paid within 15 days of receipt may be subject to a late fee, and services (including hosting) may be temporarily suspended until payment is received.
4. Client Responsibilities
The client agrees to provide all necessary text, images, credentials, and feedback in a timely manner to ensure the project stays on schedule. Delays in providing required materials may result in project delays, for which Featherup Technologies will not be held responsible.
5. Intellectual Property Rights
Upon final payment, the client assumes ownership of the final front-end design and custom deliverables. However, Featherup Technologies retains the rights to base code, proprietary software, products (e.g., our SaaS CRM, Booking Engines), and reusable libraries used during development. The client may not resell or distribute our proprietary products without a specific licensing agreement.
6. Hosting & Maintenance
If you utilize our hosting services, you agree not to host any illegal, copyright-infringing, or malicious content. Featherup Technologies guarantees a 99.9% uptime but is not liable for data loss or downtime caused by unforeseen server hardware failures, third-party network outages, or force majeure events.
7. Warranties and Liability
Our services and software are provided "as is" without any warranties, expressed or implied. Featherup Technologies shall not be held liable for any indirect, special, or consequential damages, including but not limited to loss of data, loss of business, or loss of profits arising out of the use or inability to use our services or products.
8. Project Termination
Either party may terminate a project with a 15-day written notice. In the event of termination by the client, Featherup Technologies will retain the initial deposit and invoice for any work completed up to the date of cancellation.
9. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts located in Salem, Tamil Nadu, India.
